1. What you are buying
A subscription to use the ProVo PM application, on the plan you selected, for the number of seats that plan includes. A seat is a person at your firm who uses the product. Seats are not concurrent-user licences and are not transferable between firms.
Plans, included seats and per-seat overage are as published on the pricing page at the time you subscribe.
2. What the product does today
You are buying the software as it currently exists, not as it may exist later. We publish the current limitations openly and they form part of what you are agreeing to. Where a limitation is being actively worked on we say so, but nothing below should be read as a commitment to a date:
- A Local File Project is edited by one person at a time and has no server-side synchronisation. Cloud projects, shared editing, portfolio management, automations, the mobile app and the REST API are available on Firm and Enterprise plans.
- Data moves in and out as CSV and JSON on every plan.
- Linking a project to a file on disk requires a browser that supports the File System Access API.
- One implementation playbook ships. Others are described as in development and are not committed to a date.

3. Your data
Your project content is yours. A local file project stays on your machine and we do not hold it at all. For a cloud project, one-click export of that project as readable JSON remains available to you regardless of subscription state, so a dispute or a lapsed payment never makes your delivery plans unreachable.
The other side of that: backing up your project files is your responsibility. Browser storage can be cleared by a browser, a policy or a person tidying up. Link projects to real files and export a JSON copy at each gate.

4. If your subscription ends
You lose access to the application. You do not lose your work, because we were never holding it. Your project files remain on your disk in a documented JSON format, readable without us, and every tracker exports as CSV.
We will not withhold, delete or hold hostage anything of yours, for the straightforward reason that we are not in possession of it.
5. Payment
- Subscriptions are billed monthly in advance unless agreed otherwise in writing.
- Payment is taken by our payment processor, who acts as merchant of record.
- Extra seats beyond your plan's included count are charged at the published overage rate.
- You can cancel at any time. Cancellation stops the next renewal; it does not refund the current period by default.
- If we raise prices, existing customers get notice before it applies to them.
6. Acceptable use
Use it to run your projects. Do not resell it, redistribute it, share seats with people outside your firm, or attempt to remove or circumvent the licensing mechanism.
7. What we do not warrant
The product is a planning and tracking tool. It records what you tell it and calculates from that. It has opinions — a readiness score can say no, a handover row can report a responsibility as uncovered — but those are aids to your professional judgement, not a substitute for it.
A green readiness score is not a warranty that a go-live will succeed, and we do not accept liability for delivery outcomes, business decisions, or losses arising from a project run using this software. You remain responsible for your own engagements.
The software is provided without warranty that it will be uninterrupted or error-free.
8. Liability
To the extent the law allows, our total liability to you in any twelve-month period is limited to the amount you paid us in that period. We are not liable for indirect or consequential loss, including lost profits, lost business or the cost of a delayed implementation.
This clause is the one most in need of a solicitor's attention before you rely on it.
9. Changes to these terms
If we change them materially, we will tell existing customers directly rather than quietly updating this page and relying on you to notice.
